9. Return of Confidential Information

Upon termination of this Agreement, the Receiving Party shall promptly return or destroy all Confidential Information in its possession.

The Receiving Party may retain one archival copy of the Confidential Information for compliance purposes, subject to the confidentiality obligations indefinitely.

11. Term and Termination

This Agreement shall continue for an initial term of two (2) years, automatically renewing for successive one-year terms renewing only by mutual written consent of both Parties unless either Party provides written notice at least thirty (30) days prior.

Service Agreement

This Agreement is entered into between Acme Corp and the Client.

§1. Termination. Either party may terminate this Agreement without cause on 7 days' notice.

What counts as an action?

An action is any AI request our cloud handles for you — a chat message, a Return, or a step the agent takes on your behalf when it reads a related file, runs a tool, or refines its output. Most simple questions complete in one or two actions; complex multi-step research where the agent works through several documents will naturally use more. Local AI (Ollama) is always unlimited and never counts.

What happens after 1,000 actions?

Once you cross 1,000 actions in a month, we route you to a lighter model so you can keep working without interruption. Your monthly quota resets on the 1st. No hard block, no surprise charges. If you regularly need more headroom, the Counsel waitlist is built for that.

How do I switch between cloud and local AI?

Settings → AI → toggle between Cloud and Local. Local mode uses Ollama on your machine — fully private, free, no quota. Cloud mode routes through Return's servers to Anthropic (Pro plan).

Is my data sent to your servers?

Only if you choose Cloud AI. In Local mode, nothing leaves your machine — your documents, prompts, and AI responses all stay on disk. Cloud requests proxy through Return's API to Anthropic; we don't train on your data and don't store conversation content beyond what's needed for billing aggregates.

Can I cancel anytime?

Yes. Cancel from Settings → Subscription, or via Stripe customer portal. You keep Pro access through the end of your current billing period, then auto-downgrade to Free (Local AI stays unlimited).
